Terms of Service

These terms are an agreement between JEZT Digital, LLC, doing business as Dirt Road Software ("we", "us"), and the store or business that uses our services ("you"). They cover the websites, online stores, Roadside, store software and support we provide. By signing a proposal, paying an invoice, or using our services, you agree to these terms. If you accept for a business, you confirm you are allowed to do so.

1. Who we are

Dirt Road Software is a brand of JEZT Digital, LLC. JEZT Digital builds and hosts our services, issues the software licenses and handles billing for them, so your invoices, receipts and card statements come from JEZT Digital, LLC. Our Privacy Policy explains how we handle information.

2. Your plan and these terms

What we provide for you, the price and the billing schedule are set out in your plan, proposal, order or invoice. If something in your proposal or a signed agreement differs from these terms, the proposal or agreement wins for that point.

3. Our services

  • Managed websites and online stores: we design and host your site, keep its software up to date, watch for problems and keep backups, as described in your plan.
  • Roadside: your store's control panel at roadside.dirtroadsoftware.com, where your team changes products, prices, photos, hours and orders. We handle the website's design and technical upkeep.
  • Store software: Fencepost CRM, Crossroads POS and Storehouse ERP, as described in your proposal.
  • AI chatbot and writing tools: chatbot plans include a daily allowance of use, shown in your plan. Use beyond the allowance is billed as your plan describes.
  • Connections: we connect your website to other systems, such as a register, inventory system or card processor, after we confirm they work together.

Each software license covers the store or website named on it, including its live address and its development address. Licensed software checks in with us regularly to confirm the license and switch on the features you pay for. We may improve or change our services over time. We will not take away a main feature you are paying for during your current billing period without telling you first.

4. Accounts and security

  • You are responsible for the people you give access to, the permissions you give them, and what happens under your store's accounts.
  • Each person should use their own sign-in. Do not share passwords or verification codes.
  • Tell us right away at support@dirtroadsoftware.com if you think someone has gained access who should not have.
  • We may pause access that looks compromised or that puts our services or other stores at risk. We will tell you as soon as we reasonably can.

5. Your store's data and content

You own the content and data you or your customers put into our services, such as your website content, products, customer records, house accounts and orders. You give us permission to host, copy, process and display it only as needed to provide, secure and support our services, as described in our Privacy Policy. You decide what you collect from your own customers and are responsible for having the right to use the content and information you give us. You can ask for an export of your data at any time.

6. AI features

AI tools can draft product descriptions, articles and chat replies, and they can make mistakes. You are responsible for what is published or said in your store's name. Some features, such as scheduled articles, can publish without a review step when you turn them on. You can ask us to turn that off.

7. Payments from your customers

Online orders are paid through your store's own card processor account, such as Stripe or Clover. That processor's terms apply, and its processing charges are separate from our prices. We are not a payment processor and do not hold your store's sales money.

8. Other companies' services

Our services connect to other companies' services, such as card processors, domain registrars, email, Google Business Profile, Facebook, Google Calendar and AI providers. Their own terms apply to your use of them, and fees they charge are yours unless your proposal says otherwise. We choose these services with care, but we are not responsible for them.

9. Acceptable use

You will not use our services to break the law, send spam, host malware, infringe someone else's rights, try to get into other stores' data or get around security or license limits, or resell our services unless your agreement allows it. Do not type full card numbers, bank account numbers or government ID numbers into notes or other free-text fields. Use the payment features built for that.

10. Fees and payment

Monthly fees, launch fees and any other charges are listed in your plan, proposal or invoice. JEZT Digital, LLC sends the invoices, and card charges usually appear on statements as "JD* DIRTROAD SFT". How invoices, automatic payments, cancellations and refunds work is explained on JEZT Digital's Billing and Payments page, which is part of these terms. If an invoice stays unpaid after we have reminded you, we may pause the related services or licensed features until it is paid.

11. Availability and support

We work to keep our services available at all times, apart from planned maintenance, which we try to schedule outside normal store hours. Support hours and any service levels are described in your plan or proposal.

12. Ownership

We own our software, platforms, designs and tools, including Roadside and anything we reuse across stores. Your plan or license gives you the right to use them while you are a client. Work we create only for you, such as your website's content and design, is covered by your proposal. Where the proposal does not say, you may keep using it for your business once it is paid for.

13. Your domain

Your domain stays yours. If you leave, we will help point it, and your website content, to another provider.

14. Confidentiality

Each of us will protect the other's non-public business information with reasonable care and use it only to carry out this agreement.

15. Warranties

We will provide our services with reasonable skill and care. Apart from that, our services are provided "as is", and we do not make other promises, such as that they will be error-free or fit a particular purpose. You remain responsible for your own legal, tax and regulatory obligations, even when our software helps you track them.

16. Limits on liability

As far as the law allows, neither of us is responsible to the other for indirect or consequential losses, such as lost profits or lost data that could have been restored from a backup. Our total responsibility for any claim is limited to what you paid us for the service involved in the 12 months before the claim. These limits do not reduce what you owe us for services provided, or anything that cannot be limited by law.

17. Ending services

You can cancel as described on the Billing and Payments page or in your proposal. Either of us may end the agreement if the other seriously breaks it and does not fix the problem within 30 days of being told. When services end, we will make your data available for export for 30 days and then delete it from our active systems.

18. Changes to these terms

We may update these terms. For significant changes we will give stores at least 30 days' notice by email. Using our services after the change takes effect means you accept the updated terms.

19. General

These terms are governed by the laws of the State of Georgia. If part of these terms cannot be enforced, the rest still applies. These terms, together with your proposal, our Privacy Policy and the Billing and Payments page, are the whole agreement about our services.
